1. Acceptance of Terms

By accessing or using IMMANOU (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User”) and IMMANOU (“we,” “us,” or “our”).

2. Description of Service

IMMANOU is a private strategic decision engine that provides structured AI-assisted decision-making support to solopreneurs and executives. The Service operates through a subscription-based membership model with the following plans:

The Observer (Free): 7 lifetime Decision Cycles with 7-day strategic memory retention. No audit report included.

The Strategist : 40 Decision Cycles per month, persistent strategic memory, monthly Blind Spot Audit PDF report, full strategic scaffolding, and decision forcing engine.

The Oracle : 100 Decision Cycles per month, cross-decision pattern analysis, premium Executive Audit report, concierge support, and unlimited strategic bandwidth.

3. Eligibility

You must be at least 18 years of age to use the Service. By using IMMANOU, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at contact@immanou.com if you become aware of any unauthorized use of your account. IMMANOU is not liable for any loss or damage arising from your failure to protect your account credentials. Each account is for individual use only and may not be shared.

5. Subscription and Billing

Paid subscriptions are billed monthly through Gumroad, our authorized payment processor. By subscribing to a paid plan, you authorize Gumroad to charge your designated payment method on a recurring monthly basis until cancellation. All prices are displayed in US dollars and are exclusive of applicable taxes, which are collected by Gumroad as Merchant of Record.

6. Cancellation and Refunds

You may cancel your subscription at any time through your Gumroad account. Cancellation takes effect at the end of the current billing period. You retain access to the Service until that date. IMMANOU does not offer refunds for partial billing periods. Refund requests for exceptional circumstances may be submitted to contact@immanou.com and will be evaluated on a case-by-case basis within 7 business days.

7. Intellectual Property

All content, features, frameworks, methodologies, system prompts, interface designs, and strategic architectures within IMMANOU are the exclusive intellectual property of IMMANOU. You may not reproduce, distribute, modify, reverse engineer, or create derivative works from any part of the Service without prior written authorization from IMMANOU.

Your Decision Cards, strategic snapshots, and conversation content remain your own intellectual property. By using the Service, you grant IMMANOU a limited, non-exclusive license to process and store this content solely for the purpose of delivering the Service to you.

8. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation. Impersonate any person or entity. Attempt to gain unauthorized access to any part of the Service or its infrastructure. Reverse engineer or extract the underlying AI models, system prompts, or methodologies. Share, resell, or sublicense your account access to any third party. Submit false, misleading, or fraudulent information.

9. Disclaimer of Warranties

IMMANOU is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Strategic insights provided by IMMANOU are for informational and decision-support purposes only. IMMANOU is not a licensed financial advisor, legal counsel, or management consultant. All strategic decisions remain the sole responsibility of the User.

10. Limitation of Liability

To the maximum extent permitted by applicable law, IMMANOU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. In no event shall IMMANOU’s total liability to you exceed the amount paid by you for the Service in the three months preceding the claim.

11. Modifications to the Service

IMMANOU reserves the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes via email or prominent notice on the Service. Continued use of the Service after such notice constitutes acceptance of the modified terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration before a mutually agreed arbitrator.

Notwithstanding any other provision of these Terms, any legal action or proceeding arising out of or relating to these Terms or the Service that cannot be resolved through negotiation or arbitration shall be subject to the exclusive jurisdiction of the competent courts of the country in which IMMANOU is legally established and operated. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.
